These Terms of Service govern the use of fetch, a software service offered by Lead Rover, Inc., a North Carolina corporation. This website and all content, services and products available at, or through, the Lead Rover domain leadrover.com are referred to as “fetch” throughout these Terms of Service. fetch is offered subject to your acceptance, without modification, of all of the terms and conditions contained in these Terms of Service.
Please read these Terms of Service carefully before using fetch. By accessing or using fetch, you agree to be bound by the terms and conditions of these Terms of Service. If you do not agree to all the terms and conditions of these Terms of Service, then you may not access or use fetch.
fetch Account.
You must be at least 18 years of age to establish a fetch account. Only humans can establish a fetch account. Accounts registered by "bots" or other automated methods are not permitted. You must provide your legal full name, a valid email address, and any other information requested in order to complete the sign-up process. You must not create more than one account.
Account Security.
You are responsible for maintaining the security of your account, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with the account. You must immediately notify Lead Rover of any unauthorized uses or breaches of security associated with your account.
Listing as Customer.
By creating an account, you grant Lead Rover a perpetual worldwide license to use your company's name and logo(s) for the sole purpose of Lead Rover’s marketing and sales efforts, such as listing you as a fetch user on the leadrover.com website.
Lead Rover’s Branding and Trademarks.
Lead Rover, the Lead Rover logo, fetch, the fetch logo and all other trademarks, service marks, graphics and logos used in connection with Lead Rover, or fetch are trademarks or registered trademarks of Lead Rover. Your use of fetch gives you no right or license to reproduce or otherwise use any Lead Rover or third-party trademarks.
Intellectual Property.
Using fetch and setting up an account does not transfer to you any Lead Rover or third-party intellectual property, and all right, title and interest in and to such property will remain solely with Lead Rover.
Your Responsibilities.
You represent and warrant that (i) your use of fetch will be in strict accordance with the fetch Privacy Policy, with these Terms of Service and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside) and (ii) your use fetch will not infringe or misappropriate the intellectual property rights of any third party. You also agree to only use fetch in a way that is in conformance with the terms of service and privacy policies of LinkedIn and other third-party service and software providers.
Limitations on Use.
You may not use fetch if you are a direct competitor of Lead Rover, except with Lead Rover’s prior written consent. In addition, you may not use fetch for purposes of monitoring its availability, performance or functionality, or for any other benchmarking or competitive purposes. You shall not (i) license, sublicense, sell, resell, transfer, assign, distribute or otherwise commercially exploit or otherwise make fetch available to any third party; (ii) modify or make derivative works based upon the fetch; (iii) reverse engineer or access the fetch in order to (a) build a competitive product or service, (b) build a product using similar ideas, features, functions or graphics of fetch, or (c) copy any of fetch’s ideas, features, functions or graphics. Individual accounts cannot be shared or used by more than one individual. You may use fetch only for your internal business purposes and shall not: (i) send spam or otherwise duplicative or unsolicited messages in violation of applicable laws; (ii) send or store infringing, obscene, threatening, libelous, or otherwise unlawful or tortious material, including material harmful to children or violative of third party privacy rights; (iii) send or store material containing software viruses, worms, Trojan horses or other harmful computer code, files, scripts, agents or programs; (iv) interfere with or disrupt the integrity or performance of fetch or the data contained therein; (v) attempt to gain unauthorized access to fetch or its related systems or network; of (vi) otherwise attempt to interfere with the proper working of fetch.
Termination.
Lead Rover may terminate your access to fetch at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate these Terms of Service, you may simply discontinue using fetch. All provisions of these Terms of Service which by their nature should survive termination shall survive termination.
Disclaimer of Any Warranties.
Fetch is provided to you “as is” and Lead Rover disclaims all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Lead Rover makes no warranty that fetch will be error-free or that access to fetch will be continuous or uninterrupted.
Limitation of Liability.
In no event will Lead Rover be liable to you or any third-party for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute products or services; (iii) for interruption of use or loss or corruption of data. Lead Rover’s total liability to you and any third-parties is limited to the amount of fees paid by you to Lead Rover during the twelve (12) month period prior to the cause of action.
Indemnification.
You agree to indemnify and hold harmless Lead Rover, its contractors, its licensors, and their respective owners, directors, officers, employees and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the fetch.
Governing Law. All disputes or claims relating to or arising from your use of fetch and these Terms of Service shall be governed by and construed in accordance with the internal laws of the State of Pennsylvania without giving effect to any choice or conflict of law provision or rule (whether of the Commonwealth of Pennsylvania or any other jurisdiction).
Updates/Changes to Terms of Service.
Lead Rover reserves the right, at its sole discretion, to modify or replace any part of these Terms of Service. It is your responsibility to check these Terms of Service periodically for changes. Your continued use of or access to the Services following the posting of any changes to these Terms of Service constitutes acceptance of those changes. Lead Rover may also, in the future, offer new services and/or features through the Services (including, the release of new tools and resources). Such new features and/or services shall be subject to the terms and conditions of these Terms of Service.
